The second petty bench of the Supreme Court ruled by the unanimous consent of Judges on October 12th that the creditor of the Splitting Company, whose obligations relating to the claim are not succeeded to the Company Incorporated through Incorporation-type Company Split and who cannot state an objection to the Incorporation-type Company Split, may rescind the Incorporation-type Company Split by the execution of the action paulienne stipulated in Article 424 of the Civil Law.

In accordance with the feed-in tariff program for renewable energy, the Ministry of Economy announced a contract model for specific contract/connection contract which is required for selling renewable electricity to electric power suppliers. Based on this contract model, negotiations of specific/connection contracts with electric power suppliers are expected to be progressed.

On September 13th, in regard to the Fixed Term Building Lease, Article 38 of the Act on Land and Building Leases, the first petty bench of the Supreme Court ruled that the building lessor shall provide the building lessee in advance with a written statement (separated from the contract) to explain that the building lease contract shall be ceased without renewal upon the expiration of the contract, regardless of the background of a contract and personal matters such as lessees’ recognition on details of a contract, and denied the effect of the provisions of the Fixed Term Building Lease for a case that the building lessee knew that a contract was not to be renewed and the said written statement was not delivered.

The Justice Ministry's Legislative Council Corporate Law Subcommittee made the "Draft guidelines regarding the revision of the Corporate Law system." With respect to rules of outside directors, an additional resolution is provided, which underlines a necessity of having a rule that listed companies shall strive to secure one or more independent auditors serves as director, under the rules of the financial instruments exchange, in addition to what prescribed in the draft guidelines.
