Engaged Cases

Takao MATSUDA provides a broad range of general corporate legal services and mainly handles dispute resolution, cross border matters and corporate matters. He began his career as an attorney at a Tokyo office of a multi-national law firm, and was engaged mainly in cross border matters, M&A and business bankruptcy. After obtaining LL.M. degree at Harvard Law School, he joined IwataGodo in 2014. He has expanded his expertise also in dispute resolution (domestic and overseas), and managerial legal matters such as assisting of shareholders’ meeting. Before registered at a bar, he worked in the corporate finance department of a financial institution for seven years where he obtained deep understanding on the practices of corporate finance as well as finance and accounting. His expertise and major experiences are as follows.

1. Dispute Resolution
　 Corporate: Injunction against directors’ illegal actions, petition for convocation of shareholders’ meetings, petition for disclosure of shareholder lists/minutes/accounting books, litigations for rescission of shareholders’ meeting resolutions, provisional disposition cases prohibiting shareholders’ meetings, litigations for dismissal of directors, disputes over control of corporations, etc.
　 Commercial: Real estate litigations, finance-related litigations (including avoidance of fraudulent action), bankruptcy-related litigations (fraudulence, set-off restriction, damage claim against directors, etc.), tax litigations (National Tax Tribunal, lawsuit for revocation of tax imposition), discontinuation of long-lasting contractual relation, product defects, request for decrease in rent.
　 Foreign Disputes: Support foreign litigations, Japanese law opinion for foreign courts (Hong Kong, India, U.S., Malaysia, Vietnam, South Korea.)
　 Others: Litigation to secure business secret, labor disputes (dismissal, injunction against former directors’ violation to non-compete, labor tribunal, mediations at Labor Relations Commission), cartel allegation cases, etc.

2. Debt Collection and Bankruptcy
　 Collection of loan, account receivable and investment / enforcement of security interest, receivable and real estate.
　 Business bankruptcy, civil rehabilitation and corporate reorganization

3. Advice, Structuring and Execution of Commercial Transaction
　 Cross border: M&A and J/V (U.S., South Korea, Taiwan, Indonesia, Thailand, Saudi Arabia, South Africa, etc.), license agreements, loan agreements, sales agreements
　 Banking transactions (loan, deposit, currency, letter of credit),
　 Real estate transactions
　 Domestic M&A: TOB (representing purchasers, major shareholders, and issuing companies), share deals (closed companies), business transfer, corporate split, intra-group reorganization, J/V establishment

4. Companies Act Practices and Other General Corporate Matter
　 Support shareholders meetings (agenda, statutory documents, response to shareholders’ proposal, rehearsal, secretariat)
　 Advice / Opinion on legality of management decisions
　 Advice on Anti-Monopoly Act (restrictive trading, abuse of superior bargaining position, share of competition sensitive information, etc.), and support for investigation process and commitment procedure
　 Labor (dismissal, degrade, unpaid overwork wage, industrial accident),
　 Corporate-related procedures under the Companies Act (newco establishment, branch establishment for foreign companies, increase/decrease of capital, merger, corporate split, change of directors, and commercial registrations)
Data protection regulation
　 Advice on legality of marketing activities based on the Act against Unjustifiable Premiums and Misleading Representations
